User and Merchant Obligations
1. User Obligations
- Users agree not to use the BLUE SIGMA SOLUTIONS platform in ways that violate laws or regulations, lead to fraud, or cause BLUE SIGMA SOLUTIONS or its platform to face legal action.
- Users may only use bank account/card information provided by the merchant's software for completing transactions and may not sell or share it unless independently obtained.
- Users must comply with BLUE SIGMA SOLUTIONS's terms and conditions and may not modify, decompile, or reverse-engineer the platform without written consent.
- Users must provide accurate information as per BLUE SIGMA SOLUTIONS's "Know Your Customer" (KYC) requirements.
2. Merchant Obligations
- Merchants must comply with applicable laws, rules, and regulations while using the BLUE SIGMA SOLUTIONS platform.
- Merchants cannot process or deposit transactions for other establishments.
- Merchants cannot accept payments for refinancing existing debts.
- Merchants must adhere to BLUE SIGMA SOLUTIONS's data extraction requirements from payment instruments.
- Merchants must provide customers with a digital or paper receipt indicating the transaction amount.
- Merchants cannot impose surcharges, discounts, or finance charges related to payment instrument transactions.
- Merchants grant BLUE SIGMA SOLUTIONS a non-exclusive, royalty-free license to use their trademarks and logos for marketing purposes.
- Merchants authorize BLUE SIGMA SOLUTIONS to include their name in promotional materials related to BLUE SIGMA SOLUTIONS's services.
- Merchants must implement prescribed security measures on their websites or apps to accept payments.
- Merchants must follow BLUE SIGMA SOLUTIONS's written instructions regarding payments from electronic transactions.
- In case of disputes or fraud, BLUE SIGMA SOLUTIONS may refund the cardholder using the merchant's available funds. If funds are unavailable, BLUE SIGMA SOLUTIONS can recover them through legal means.
- Merchants must provide accurate information during ownership verification. Providing false information may lead to penalties or account suspension.
3. Transaction & Settlement
- BLUE SIGMA SOLUTIONS will ensure timely settlements to merchants unless unforeseen delays occur, in which case merchants will be notified.
- Transaction information must correspond to genuine transactions in line with this agreement.
- Merchants must keep E-Transaction records for at least five (5) years from the authorization date.
4. General Obligations
- Merchants must follow the general rules and service provider policies outlined in this agreement.
- Merchants must comply with applicable laws regarding the sale of products and services related to electronic transactions.
- Merchants are responsible for fulfilling customer obligations regarding product and service sales.
5. Accepting Payments for Goods & Services
- Merchants may only accept payments for products or services directly sold to customers.
- Payments and reversals must relate to products or services within the merchant's scope of business.
- Merchants must notify BLUE SIGMA SOLUTIONS before making any changes to their product or service offerings.
- Merchants must provide BLUE SIGMA SOLUTIONS with the URL of their website that accepts payments through digital banking channels.
- Merchants must submit data to BLUE SIGMA SOLUTIONS for authorized transactions by customers per applicable laws.
- Merchants must avoid actions that could harm BLUE SIGMA SOLUTIONS's reputation.
- Merchants indemnify BLUE SIGMA SOLUTIONS from claims or actions that may result from obligations to their customers.
6. Disputes
- BLUE SIGMA SOLUTIONS will not be involved in merchant-customer disputes and will be indemnified against any related consequences.
- Merchants cannot refuse returns or cancellations based on payment method used.
7. Refunds & Chargebacks
- For returns or cancellations, merchants must electronically refund the cardholder the net amount, minus applicable charges.
- Merchants must retain correspondence for at least five (5) years.
- BLUE SIGMA SOLUTIONS may withhold payments if proper authorization is not obtained or if the agreement is violated.
- In case of disputes or fraud, BLUE SIGMA SOLUTIONS may refund the cardholder using the merchant's funds.
- Merchants will incur a service charge for each chargeback, deducted from their settlement or paid directly to BLUE SIGMA SOLUTIONS.
- BLUE SIGMA SOLUTIONS is not liable for refunds related to chargebacks, including subscription, setup, integration, or security deposits.
8. Indemnity
- Merchants indemnify BLUE SIGMA SOLUTIONS from claims or economic loss arising from their obligations to customers.
- Merchants understand that BLUE SIGMA SOLUTIONS only provides online payment solutions and may be held liable to its service providers in case of non-compliance.
9. Prohibited & Banned Items
Merchants agree not to sell the following products or services:
- Firearms
- Alcohol
- Explosives
- Pornography
- Live animals
- Illegal drugs or controlled substances
- Fireworks or pyrotechnic devices
- Hazardous materials
- Bulk email software
- Gambling transactions
- Multi-level marketing fees
- Matrix schemes
- Work-from-home promotions
- Website promotion fees
- Wire transfer products
- Any illegal goods or services in Pakistan
10. Confidentiality & Security
- Merchants must ensure the confidentiality of customer information on their website or app and implement proper security measures. Losses from hacking or breaches are the merchant's responsibility.
- Merchants must protect the integrity of the link between their platform and BLUE SIGMA SOLUTIONS's payment gateway. BLUE SIGMA SOLUTIONS is not responsible for losses due to compromised links.
11. BLUE SIGMA SOLUTIONS's Copyright and Trademarks
"BLUE SIGMA SOLUTIONS," and all related logos are trademarks. Users may not use them without written consent. All content on BLUE SIGMA SOLUTIONS's website is proprietary to BLUE SIGMA SOLUTIONS and its licensors.
12. Other Businesses
Services or products from third parties may be available through BLUE SIGMA SOLUTIONS. Purchases from these third parties are directly with them, and BLUE SIGMA SOLUTIONS is not responsible for their actions.
13. Disclaimer
BLUE SIGMA SOLUTIONS's services are provided "as is," and BLUE SIGMA SOLUTIONS is not liable for damages arising from the use or inability to use the platform.
14. Governing Law and Jurisdiction
This agreement is governed by the laws of Pakistan. Any unresolved disputes will be referred to the courts in Pakistan, whose decisions are final.
